I have an Intel D945PSN, it says it supports up to the Pentium D, but it is the same socket type and the Core 2 Duo correct? Would I need a bios update or anything? or would it even work at all?

Probably not, No. C2D requires an updated VRM and that board likely does not have it if it lists the PD as the highest chip itll take.
